Please read this Disclaimer carefully before entering this portal (the “Portal”). It contains important legal and regulatory information relevant to the investment funds and materials accessible through the Portal. 1. Definitions (Group-wide)

For the purposes of this Disclaimer:

“Ascender”, “we”, “us” or “our” means Ascender Fund Partners Group and each entity within the group, including (without limitation) Ascender Fund Partners Luxembourg, Ascender Fund Partners Ireland, Ascender Fund Partners (UK) Limited, and any other direct or indirect subsidiary, affiliate, branch, successor or related entity from time to time (together, the “Group Entities”).

“Materials” means any content made available on or through the Portal, including fund documents, data, commentary, presentations, factsheets, notices and other information.

2. Purpose of the Portal – informational use only

The Portal is made available for information purposes only. It is intended to provide access to fund documentation and related information (including, where applicable, prospectuses, Key Information Documents and periodic reports) and to present general information regarding the Group Entities and their activities.

Nothing on the Portal constitutes, or should be construed as, investment advice, legal/tax/accounting advice, a recommendation, research, an invitation, an offer, or a solicitation to subscribe for or purchase any securities, fund units/shares, or other financial instruments. Any investment decision must be made only on the basis of the relevant official offering documentation for the relevant product and, where appropriate, after obtaining independent professional advice.

3. Responsibility for content / relevant entity

Depending on the fund, service or document accessed, the relevant Group Entity acting as management company, AIFM, distributor or service provider may differ. The identity of the responsible Group Entity for each product and the applicable regulatory status are described in the relevant fund documentation and/or on the relevant fund page within the Portal.

The Portal and the Materials may be modified, restricted or withdrawn at any time without notice.

4. Access rules – country, investor type and local restrictions

Access to the Portal and/or certain Materials may be restricted by law or regulation in certain jurisdictions. The Materials are directed only at persons in jurisdictions where access to such information and its use are not contrary to local law or regulation.

You must select your country of residence and your investor profile (Retail or Professional). Materials may be filtered or restricted based on those selections. You remain responsible for ensuring you are legally permitted to access the Portal and the Materials under the laws and regulations applicable to you.

If you access as an intermediary, you confirm you are authorised to do so and will select the appropriate country and investor category for the relevant end investor(s) or client(s) and comply with onward distribution restrictions.

5. Retail vs professional access

Where you select Retail, access is limited to Materials relating to funds/share classes that are authorised for retail distribution (or otherwise lawfully made available to retail investors) in the selected jurisdiction (e.g., certain UCITS and, where applicable, ELTIF products). Not all funds shown on the Portal are available to retail investors in all jurisdictions.

Where you select Professional, you may be shown additional funds, share classes and Materials intended only for professional investors/eligible counterparties. Such content must not be provided to retail persons.

6. Key jurisdictional notices (non-exhaustive)

Unless explicitly stated otherwise in the relevant fund documentation:

United States: certain funds/interests referenced may not be registered under U.S. securities laws and may not be offered or sold in the United States or to, or for the account or benefit of, any “U.S. Person” (as defined in Regulation S), except pursuant to an applicable exemption and in a manner consistent with U.S. law. The Portal is not intended to constitute a public offer or general solicitation in the United States.

United Kingdom: where Materials constitute “financial promotions” for UK purposes, they are directed only at persons to whom they may lawfully be communicated and are subject to applicable restrictions. Retail access (if any) is limited to funds expressly made available for retail distribution in the UK and in accordance with applicable requirements.

Switzerland: Materials may be restricted to qualified investors within the meaning of Swiss financial market laws unless a specific fund is expressly made available to non-qualified investors in Switzerland in accordance with applicable requirements.

EEA / other European jurisdictions: availability of a fund in a given country depends on its distribution status and may differ between retail and professional investors. Nothing on this Portal is intended to constitute marketing in any jurisdiction where the fund is not permitted to be marketed.

7. Risk warning

Investments involve risk, including the possible loss of capital. Past performance is not a reliable indicator of future results. The value of investments and any income may go down as well as up, and you may not recover the amount invested. Risk factors are described in the relevant fund documentation, which must be read carefully before any investment.

8. Accuracy / no warranty

The Materials are provided “as is” and are believed to be reliable as at the date of publication, but no representation or warranty is given as to their accuracy, completeness, timeliness or suitability for any purpose. Documents may be updated; you should refer to the most recent version available. Where Materials are sourced from third parties, they remain the responsibility of the relevant third party.

9. Limitation of liability (Group-wide)

To the fullest extent permitted by applicable law, each of the Group Entities expressly disclaims and excludes all liability for any loss or damage (whether direct, indirect, incidental, special, consequential or otherwise), including any loss of profits, revenue, business, goodwill or anticipated savings, arising out of or in connection with:

access to or use of (or inability to access or use) the Portal;

any reliance placed on any Materials;

any errors, inaccuracies, omissions or out-of-date information in the Materials;

any interruption, delay, suspension or unavailability of the Portal;

any cyber incident, virus, system failure, transmission error or security breach; and/or

any websites, content or services of third parties linked to or referenced on the Portal.

Nothing in this Disclaimer excludes or limits any duty or liability which cannot lawfully be excluded or limited, including (where applicable) mandatory consumer protection rights.

10. Intellectual property / permitted use

All content on the Portal is protected by intellectual property rights owned by the Group Entities or their licensors. You may view, download and print Materials for your personal use (retail users) or internal business use (professional users), and you may not reproduce, distribute, publish, modify, transmit or otherwise use the Materials for external or commercial purposes without prior written consent.

11. Privacy and confidentiality / internet risk

Use of the Portal may involve the processing of personal data in accordance with the Group’s privacy notices and applicable data protection laws. You should be aware that the internet is not a fully secure transmission medium; any transmission of information is at your own risk. You are responsible for maintaining the confidentiality of any credentials used to access restricted areas.

12. Cookies

The Portal uses strictly necessary cookies and technical measures required for security and session management. Any additional cookies (e.g., analytics) will be governed by a separate cookie notice/banner where required by law.

13. Governing law and jurisdiction

Unless otherwise stated for a particular section of the Portal or a particular product, these Terms are governed by the laws of Luxembourg, and the courts of Luxembourg shall have jurisdiction, subject to any mandatory consumer protection rules that may apply (where relevant).
